Every iGaming transaction contains a period where neither party can go first. The seller will not release platform credentials, domain control and the player database against a promise of payment. The buyer will not wire funds against a promise that the license will transfer, the affiliate accounts will reassign and the payment rails will survive the change of control. In most sectors this gap is measured in hours. In iGaming it is measured in weeks or months, because the regulator sits in the middle of it.
Escrow is what makes that gap navigable. Done properly it is not an administrative formality bolted on before completion, it is the structural mechanism that determines what each party is actually exposed to and for how long. Done badly, or skipped entirely, it is the reason a transaction that looked complete on paper ends in a dispute that neither party can afford to litigate across jurisdictions.
Why iGaming Escrow Is Not Generic Business Escrow
Standard business escrow assumes a single completion event. Funds go in, the assets transfer, funds release, the deal is done. iGaming does not work that way, for four reasons specific to the sector.
The license transfer is not in either party's control. Change of control approval sits with the regulator and runs on its own timeline. Depending on jurisdiction that can be a few weeks or several months, as covered in our guide to choosing a gaming license jurisdiction. Until approval issues, the buyer has paid for something they do not yet legally hold, and the seller remains the licensee of record with continuing regulatory responsibility for a business someone else is running.
Third parties can refuse to move. Payment providers, game aggregators and affiliate programs each conduct their own review of the incoming owner. Any of them can decline. A deal structured on the assumption that these relationships transfer automatically has priced in an outcome nobody has confirmed.
There are player funds inside the business. Player balances, pending withdrawals, bonus liability and any jackpot contribution obligations are not the seller's money and are not the buyer's margin. They have to be identified, segregated and reconciled at completion rather than swept into the consideration.
The consideration is frequently crypto. Stablecoin and BTC settlement is standard in this market, which removes bank friction but introduces custody, price fixing and address verification questions that a conventional escrow agent is not equipped to handle.
Escrow Starts Earlier Than Most Sellers Expect
The first use of escrow in a well-run process is not at completion. It is at the point of exclusivity.
A buyer requesting a period of exclusivity is asking the seller to stop talking to the rest of the market for thirty to forty five days. A refundable security deposit held in escrow against that exclusivity is what makes the request credible. It costs a serious buyer nothing, because it returns to them if diligence uncovers a genuine issue, and it filters out the buyers who were never going to close.
For sellers, this is the cheapest available protection against the most common form of wasted process: an unfunded buyer who takes exclusivity, spends six weeks in diligence, and then either disappears or reprices on manufactured grounds. Pairing the deposit with a non-circumvention undertaking closes the other failure mode, where a buyer meets the operator through a broker and then attempts to transact around them.
Structuring Release Against Milestones, Not a Single Completion
The core design decision in an iGaming escrow is that release is staged. A single release on a single completion date forces one party to carry the entire regulatory timeline risk, and whichever party that is will price it into the deal.
A workable structure typically releases against defined, verifiable events rather than dates.
- Signing. A first tranche releases on execution of the sale agreement and transfer of the assets that can move immediately: domains, brand marks, content, technical infrastructure access and, where lawful, the player database under the agreed data transfer mechanism.
- Regulatory approval. A substantial tranche releases on written confirmation from the licensing authority that change of control is approved and the license is issued to or transferred into the buyer's entity. This is the milestone the sector is built around and it should be evidenced by the regulator's own documentation, not by either party's assertion.
- Third party continuity. A tranche can be tied to confirmation that the material payment providers, game suppliers and affiliate programs have accepted the new owner. In affiliate transactions this milestone is the whole deal rather than a component of it, for reasons set out in our guide to iGaming affiliate site valuation: programme accounts are frequently non-assignable, and a portfolio whose top programmes decline to reassign loses its revenue while keeping its traffic.
- Warranty retention. A final holdback, commonly twelve to eighteen months, remains in escrow against warranty and indemnity claims. This is the buyer's practical remedy if undisclosed regulatory correspondence, KYC gaps or misstated financials surface after completion. Without it, the remedy is a cross-border lawsuit against a seller who has already been paid.
Each milestone needs an objective evidentiary trigger and a named party responsible for producing it. Escrow instructions that release on satisfaction rather than on evidence are escrow instructions that release into a dispute.
What Happens If the License Transfer Is Refused
This is the scenario the entire structure exists for, and it is the one most commonly left undocumented.
If the regulator declines the change of control, or approves it subject to conditions the buyer will not accept, the parties need to have agreed in advance what unwinds and what does not. The buyer has typically been operating the business for weeks by that point. Revenue has been earned, marketing has been spent, and the player base has moved.
The agreement should specify whether the transaction reverses in full with the escrowed balance returned, whether the already-transferred assets stay with the buyer against a reduced and adjusted price, and how revenue earned during the interim period is allocated. It should also specify a longstop date after which either party can walk without penalty, because an application that has been sitting with a regulator for eight months is a different situation from one that is three weeks into review.

Crypto Consideration: Custody, Price Fixing and Address Discipline
Where consideration is denominated in digital assets, several mechanics need to be settled in the escrow instructions rather than improvised at settlement.
Denomination. Stablecoin settlement removes price movement risk across a multi-month regulatory timeline, which is why USDT and USDC dominate mid-market iGaming transactions. Where BTC or ETH is used, the agreement needs an explicit price fixing mechanism, typically a volume weighted average over a defined pre-completion window, otherwise a three month license transfer period turns the purchase price into a directional bet neither party intended to take.
Chain and address verification. Network selection should be agreed and documented, and receiving addresses confirmed through a channel independent of email. Address substitution through compromised email is one of the most effective attacks against high value transactions, and there is no recovery once funds settle on chain.
Custody arrangement. Funds held on chain during escrow need a defined custody model, whether that is a multi-signature arrangement with defined signatories or funds held by an escrow provider with the appropriate regulatory permission. Whichever is used, the release authority and the dispute path should be written down before anything is funded.
Source of funds. Both sides benefit from this being clean. The seller inherits a compliance question if the consideration arrives from an address with problematic history, and the buyer will face the same question from their own regulator at license transfer. Screening the receiving and sending addresses is a five minute exercise that prevents a permanent problem.
Completion Accounts and the Player Balance Question
The item most often missed in first-time iGaming transactions is that the business is holding money that belongs to neither party to the deal.
At completion, player balances, pending withdrawal requests, unresolved chargebacks, bonus liability and outstanding affiliate commissions all need to be quantified and allocated. The convention is that the seller funds the liabilities accrued up to completion and the buyer assumes those arising after it, with a reconciliation and true-up shortly after the completion date once the figures settle.
Holding a portion of the consideration in escrow against that true-up is standard practice. The alternative is asking the seller to pay a reconciled shortfall out of funds they have already received and possibly already deployed, which is a request with a poor success rate. Who Should Hold the Funds
There are three common arrangements and they are not equivalent.
A law firm client account is familiar and well understood, but many firms will not hold gambling-derived funds, fewer will hold digital assets at all, and the firm holding funds for one side is not a neutral party in a dispute.
A general purpose escrow provider handles the mechanics competently but usually lacks the sector knowledge to assess whether a release condition has actually been met. An agent who cannot read a regulator's change of control confirmation, or who does not know that an affiliate program acceptance email is not the same as an account reassignment, is holding funds without being able to adjudicate their release.
A sector specialist holding under appropriate permission combines the two. The value is not only custody, it is that the party controlling release understands what the milestone documents mean and what the standard market position is when the parties disagree.
Whichever is chosen, the escrow instructions should be drafted alongside the sale agreement rather than after it. Instructions written separately from the transaction documents routinely contain release conditions that do not match the obligations they are supposed to secure, which is an expensive inconsistency to discover at the moment one party wants their money.
Why Escrow Improves the Price, Not Just the Safety
Sellers occasionally resist escrow on the basis that it delays their proceeds. That reads the economics backwards.
Buyers price uncertainty. A buyer asked to pay in full at completion against a license transfer that has not yet happened, third party relationships that have not yet confirmed, and warranties backed by nothing but a seller's ongoing solvency, will either discount the offer to compensate or attach conditions that achieve the same result. A properly structured escrow gives the buyer a defined remedy, which removes the reason for the discount.
